Benefit Corporations in the Italian Legal System

Benefit Corporations were introduced into the Italian legal system by Law No. 208 of December 28, 2015, the so-called Stability Law, Article 1, paragraphs 376 et seq.

Benefit Corporations are companies that, in carrying out their economic activities, pursue one or more purposes of common benefit in addition to the purpose of distributing profits.

They operate responsibly, sustainably, and transparently towards people, communities, territories and the environment, cultural and social assets and activities, organizations, associations, and other stakeholders.

Comma 377

The common benefit purposes are specifically stated in the company's corporate purpose and pursued through management aimed at balancing the interests of shareholders with those of the parties who may be affected by the company's activities.

These purposes may be pursued by companies in accordance with the provisions of the Italian Civil Code.

“Common benefit” means pursuing one or more positive effects, or reducing negative effects, through the company's economic activities.

“Other stakeholders” include individuals or groups directly or indirectly involved in the company's activities, such as employees, customers, suppliers, lenders, creditors, public administrations, and civil society.

The impact generated by a Benefit Corporation must be assessed using an external evaluation standard based on the methods and criteria established by the applicable legislation.

The assessment must include the specific areas identified by law for evaluating the company's activities in pursuing common benefit purposes.
